The "Depod Listener Terms of Use" (hereinafter referred to as "these Terms") shall apply to the use of the music distribution-related services (hereinafter referred to as "the Service") provided by Depod. Users who play music through the Service (hereinafter referred to as "Listeners") shall be deemed to have accepted the contents of these Terms by using the Service, and a contract between Depod and the Listener shall be deemed to have been established based on the provisions of these Terms.
Article 1 (Definitions)
The terms used in these Terms shall have the following meanings:
- "The Service" refers to the music distribution service and the service for distributing playback fees to Listeners provided by Depod in accordance with the conditions set forth in these Terms.
- "Content" refers to recordings of performances by performers (including artists, defined in accordance with the Depod Artist Terms and Conditions), such as singing, playing instruments, and recitation, fixed in phonograms or digital data, as well as related information such as song titles, cover art, artist photos, and other information provided or registered by artists on the Service.
- "Playback fees" refers to the points and cryptographic assets distributed by Depod to Listeners through Depod based on the playback of music distributed on the platform.
- "Depod points" refers to computational units managed off-chain that are distributed by Depod to Listeners based on the playback of music distributed on the platform.
- "Depod cryptographic assets" refers to cryptographic assets distributed by Depod to Listeners based on their request and the number of Depod points they hold.
Article 2 (Distribution of playback fees)
- Depod shall distribute Depod points to listeners each time they play content distributed on Depod for 20 seconds or more. The amount of Depod points distributed shall be calculated by Depod based on the distribution funds (defined in accordance with the Depod Artist Terms of Use) and the number of plays, among other factors.
- When a listener requests it, Depod shall distribute Depod cryptocurrency to the listener in proportion to the number of points consumed by the listener, using the Depod points owned by the listener. The amount of cryptocurrency distributed per consumed Depod point shall be calculated by Depod for each distribution term, and the calculation result shall be displayed within the Depod application.
- The request by the listener as set forth in the preceding paragraph shall become possible after the last day of the distribution term, and Depod shall distribute the Depod cryptocurrency within 7 days after the request.
- The distribution of Depod cryptocurrency shall be made to the valid address that the listener has registered for the purpose of receiving the cryptocurrency. Depod shall not be responsible for redistributing Depod cryptocurrency or compensating listeners for any damages arising from the listener's failure to receive Depod cryptocurrency due to address setting errors, application deficiencies, or any other reasons.
- Depod may provide information on its website or application regarding the expected playback fees for specific distribution terms in the future (including numerical information regarding the unit price of playback fees based on past performance data, but not limited thereto). However, none of the information provided shall guarantee future distribution of playback fees, and Depod shall not be aware of nor liable for any actions taken by listeners or the results thereof based on such information.
Article 3 (Prohibition of Assignment of Rights and Obligations)
- The listener shall not assign, transfer, or create any security interest in any rights and obligations arising from the use of this service to any third party.
- If the listener violates the preceding paragraph and causes damage or costs to a third party, the listener shall resolve the matter at their own responsibility and expense, and shall not cause any damages to Depod.
Article 4 (Temporary Suspension of the Service)
- Depod may temporarily suspend the provision of the Service without prior notice to the Listener if any of the following reasons apply:
- When it becomes impossible to provide the Service due to natural disasters such as earthquakes, tsunamis, floods, volcanic eruptions, wars, civil unrest, riots or any other uncontrollable circumstances.
- When the provision of the Service becomes impossible due to fire, power outage or other reasons.
- When regular or emergency maintenance is required for the system of the Service.
- When, based on the provisions of Article 8 of the Telecommunications Business Law, there is an emergency situation such as a natural disaster, incident or other emergency, and it is necessary to prioritize urgent communication for disaster prevention or relief, transportation, communication or power supply, or for the maintenance of public order, and it is deemed necessary to restrict the provision of the Service.
- When Depod determines that temporary suspension of the provision of the Service is necessary for operational or technical reasons.
- Depod shall not be responsible for any damages suffered by the Listener or any third party resulting from delays, interruptions or any other problems related to the provision of the Service caused by any of the reasons stated in the preceding paragraph.
